1. OVERVIEW.

• Caffelli LLC (“Sponsor”) will offer random drawing sweepstakes promotions (“Sweepstakes”) periodically on the Give FTW website at https://giveftw.com (“Website”).
• Each Sweepstakes will last for a “season”, starting at a certain designated date/time and ending at a certain designated date/time. Sponsor projects that most Sweepstakes/seasons will last for ten (10) calendar days. Each Sweepstakes is independent of any Sweepstakes offered on the Website prior to or after that Sweepstakes.
• Sponsor may cease offering Sweepstakes going forward for any reason by posting a notice to such effect at Website. Sponsor may terminate a Sweepstakes which is in progress due to any condition beyond Sponsor’s reasonable control; that is, a force majeure event such as a pandemic/epidemic, natural disaster, riot, strike, materials shortage, civil commotion, governmental action. To the extent feasible, Sponsor will post notice at Website should a Sweepstakes which is in progress be terminated for any reason.
• In addition to these Sweepstakes Official Rules, each Sweepstakes is offered subject to its specific “Sweepstakes Details” including but not limited to, the timing of the season; the number of prize winners and random drawings; the description and value of the available prizing. YOU ARE STRONGLY ADVISED TO REVIEW THE SWEEPSTAKES DETAILS BEFORE PLAYING ANY GAME AND PARTICIPATING IN ANY SWEEPSTAKES ON THE WEBSITE. The Sweepstakes Details are incorporated herein by reference and made a part of these Sweepstakes Official Rules. In the event of any inconsistency between these Sweepstakes Official Rules and the Sweepstakes Details, the Sweepstakes Details will prevail, govern and control only with respect to participation and earning points in that particular Sweepstakes. In all other cases, these Sweepstakes Official Rules will prevail, govern and control.
• As part of the Website’s operation, third party prize partners of Sponsor will donate funds to charitable entities. Such donations are completely separate from the offering of Sweepstakes by Sponsor on the Website and, as such, do not in any way affect one’s ability to register for the Website or to play games and thereby earn entries in Sweepstakes offered on the Website.
• The Website and Sweepstakes available thereon are offered only to users in the United States and Canada (excluding Quebec). IF YOU ARE NOT LOCATED IN THE UNITED STATES OR CANADA (EXCLUDING QUEBEC) DO NOT REGISTER FOR THE WEBSITE, PLAY ANY GAMES OR PARTICIPATE IN ANY SWEEPSTAKES OFFERED ON THE WEBSITE. 2. REGISTRATION.

• Go to the Website and complete the registration form with your name, e-mail address, username (subject to availability and Sponsor’s approval; objectionable or offensive user names not allowed), a password (to be maintained securely and not shared), and your country of residence (U.S. or Canada).
• Check the box indicating your (if you are a minor in your jurisdiction of residence, your parent/legal guardian’s) agreement to the Website’s terms and conditions. IF YOU DO NOT CHECK THIS BOX YOUR REGISTRATION WILL NOT BE ACCEPTED AND YOU WILL NOT BE ABLE TO PLAY ANY GAMES AND ENTER ANY SWEEPSTAKES OFFERED ON THE WEBSITE.
• Registration, in and of itself, will not result in entry in any Sweepstakes. Sweepstakes entry is based upon earning points by playing games on the Website as per Rule 3 below.
• There is a limit of one (1) registration per person. A given e-mail address may only be used as part of one (1) registration.
• After registration, you may access the Website by providing your username and password.

3. SWEEPSTAKES ENTRY.

• Register for (or log into) the Website.
• Choose from among the available games on the Website for the current Sweepstakes. Sponsor will modify or supplement the roster of available games from time to time in its sole discretion.
• Before playing any game, you (if you are a minor in your jurisdiction of residence, your parent/legal guardian) must check the box indicating your (or your parent/legal guardian’s) agreement to the Sweepstakes Official Rules and the Sweepstakes Details for that particular Sweepstakes.
• If the current Sweepstakes will include random drawings for persons participating as part of a team (“party play”) as opposed to persons playing the game individually (“solo play”), you (if you are a minor in your jurisdiction of residence, your parent/legal guardian) must decide upon playing the game if you will continue with solo play or party play. To participate in party play, you will be prompted to identify the team which you are joining for purposes of party play for that particular game. Selection of party play mode is subject to the selected team’s capacity as well as the approval of the captain of the team of such selected team. If team captain does not approve your membership in the team within the designated time period, Sponsor will revert your status (and any points earned/entries received) to solo play.
  BE CAREFUL IN MAKING THE SELECTION OF SOLO OR PARTY PLAY AS IT WILL AFFECT YOUR ABILITY TO ENTER SWEEPSTAKES FOR A CHANCE TO WIN PRIZES. ONCE MADE, SELECTION OF PARTY PLAY OR SOLO PLAY CANNOT BE REVERSED FOR A GIVEN GAME. SELECTION OF PARTY PLAY (AS WELL AS MEMBERSHIP ON A GIVEN TEAM FOR PUPROSES OF PARTY PLAY) IS ONLY BINDING FOR THE CORRESPONDING GAME FOR WHICH IT WAS SELECTED.
• Each point earned during game play within a given season will result in receipt of one (1) entry in the corresponding Sweepstakes. For solo play, each point earned will result in the individual who is registered receiving one (1) entry in the corresponding Sweepstakes. For party play, each point earned will be credited to the team that the individual is part of; and, based on the number of points earned by that team as compared to other teams, all members of a given team may be entered in an exclusive random drawing as per Rule 4 below. For clarity, earning points in a game, in and of itself, will NOT result in receipt of any prize even if a game shows that a given registrant or his/her team (if party play is available and has been selected) has the highest score on the leaderboard for such game). A registrant’s (or a registrant’s team’s) performance in a game only affects the number of points/entries that he/she (or his/her team) has earned; i.e., by scoring more points in a given game, the registrant will earn more entries in the corresponding Sweepstakes and his/her team may qualify for exclusive random drawings.
• Points will be awarded in accordance with the rules and regulations of game play for each available game. Such rules and regulations are incorporated herein by reference and made a part of these Sweepstakes Official Rules. In the event of any inconsistency between these Sweepstakes Official Rules and the rules and regulations of game play, the rules and regulations of game play will prevail, govern and control only with respect to participation in and earning points in that particular game. In all other cases, these Sweepstakes Official Rules will prevail, govern and control.
• By agreeing to the Sweepstakes Official Rules and playing a game, you (if you are a minor in your jurisdiction of residence, your parent/legal guardian) agree to abide and be bound by the Sweepstakes Official Rules (including the rules and regulations of the game[s] and the Sweepstakes Details) as well as Sponsor’s and Administrator’s decisions (including those relating to earning points/entries), which are final and binding in all respects and are not subject to appeal.
• Sponsor/Administrator shall resolve disputes as to identity of registrant (or a team) who earned points/entries based on the determination in their sole discretion of the Authorized Account Holder of the e-mail address provided on the registration form. (Authorized Account Holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted email address.)
• Points are only valid for use by Sponsor in tracking the number of entries a registrant (or team) has received in a given Sweepstakes as well as to confirm that a registrant (or team) has acted in full compliance with these Sweepstakes Official Rules and the terms and conditions of the Website. Points cannot be redeemed by registrant for cash or credit. Registrant (and teams) has no property rights in points, and any attempt by registrant (or team) to transfer/purchase/sell/exchange points or to use points other than as expressly authorized by Sponsor is prohibited and may constitute tampering (see also Rule 10 below).
• Sponsor reserves the right at its sole discretion to adjust the number of points/entries earned by a given registrant (or team) so as to correct errors or to address game play suspected to be fraudulent and/or in violation of the rules and regulations of the applicable game. Sponsor will notify registrant (or team captain) of any such adjustment but disclaims any and all liability in conjunction therewith. Any suspected fraudulent conduct may constitute tampering (see also Rule 10 below).

4. WINNER SELECTION/RANDOM DRAWINGS.

• A certain number of winners will be selected in each Sweepstakes. Depending on the Sweepstakes, there may be (i) an “End-of-season” random drawing from among all eligible entries received (that is, points earned by registered persons) during the entirety of the corresponding season and/or (ii) “Segment” random drawing(s) from among all eligible entries received during a given day (defined as 12:00:00 a.m. Eastern Time – 11:59:59 p.m. Eastern Time) or other segment of a season. If a Sweepstakes includes random drawings for a day (or other segment of a season), non-winning eligible entries may be retained for random drawing(s) for subsequent days/segments of the season as well as for the entirety of the season (to the extent applicable). In addition, a Sweepstakes may include random drawings reserved exclusively for party play participants based on the teams’ performance earning points in the applicable game; for example, an exclusive random drawing for members of the team with the most points in a given game earned via party play mode, with each member of the qualifying team – including the team captain -- being entered once in the random drawing. Random drawings for Party Play participants are completely independent of “End-of-season” and “Segment” random drawings.
• Non-winning eligible entries from a given Sweepstakes will NOT be retained for subsequent Sweepstakes.
• Administrator, an independent judging organization, will conduct the random drawings at its offices in Portland, OR USA or another location designated by Sponsor. End-of-season random drawings and party play participant random drawings will take place approximately three (3) business days following the conclusion of the corresponding season; Segment random drawings will take place on or about the next business day following the conclusion of the applicable segment of the corresponding season.
• Odds of winning a prize in an End-of-season or Segment random drawing depend on the number of eligible entries received for the applicable random drawing. Odds of winning a prize in a party play random drawing depend on the ability of the members of a given team in the applicable game as compared to the ability of other teams in that game; the number of ranked team(s) whose members which qualify for an exclusive random drawing; and the number of members on such qualifying ranked team(s).
• To win a prize, a Canadian resident selected in a random drawing must correctly answer a time-based mathematical skill-testing question without assistance of any kind.

5. WINNER NOTIFICATION.

• Winners will be notified by e-mail provided at time of registration. (It is the sole responsibility of the registrant to update his/her user profile if his/her e-mail address changes after registration.) Depending on the prize, winner (if he/she is a minor in his/her jurisdiction of residence, his/her parent/legal guardian) may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (where lawful), within time period indicated.
• Prize will be forfeited without compensation of any kind if:
  • Winner fails to timely complete/sign/return the Affidavit (if applicable);
  • Administrator cannot contact the winner despite making commercial reasonable efforts to do so (including e-mail winner notification which is delayed, undeliverable or classified as “junk” or “SPAM” by registrant’s e-mail service provider); or
  • Administrator determines that the winner is in violation of these Sweepstakes Official Rules including the rules and regulations of game play for applicable game(s) and the Sweepstakes Details (for example, winner is not eligible).
• In the event of prize forfeiture, Sponsor will select an alternate winner from among all remaining eligible entries received for the corresponding random drawing.

6. PRICE RESTRICTION.

• Limit of one (1) prize per registered person during any given six (6) month period.
• Prize must be accepted as awarded. No prize substitution except by Sponsor due to prize unavailability for any reason and only then for prize of comparable value. Prize is not redeemable for cash except where prize is a gift card and the ability to redeem gift card for cash is prescribed by applicable law.
• Merchandise prizes will only be shipped to a street address in the United States or Canada (excluding Quebec).
• Prizes are not transferable without the prior written consent of Sponsor, which may be granted or withheld in its sole discretion and without liability of any kind.
• All unspecified expenses in conjunction with acceptance and use of prize are the winner’s sole responsibility.
• All taxes on prize are also the winner’s sole responsibility and Sponsor (or Administrator) will issue winner an IRS 1099 Tax Form (or similar form) reflecting the fair market value of prize(s) won by a given winner over the course of a calendar year. Canadian winners may be responsible for payment of foreign withholding tax on the value of prize(s) won. Winner (if winner is a minor in his/her jurisdiction of residence, his/her parent/legal guardian) further agrees to cooperate fully with Sponsor/Administrator as to the reporting of prize award to the applicable governmental authorities.

7. LIMITATIONS OF LIABILITY & ADDITIONAL CONDITIONS

• Sponsor and Administrator assume no liability or responsibility for:
  • late, lost, illegible/garbled, corrupted, incomplete, inaccessible/blocked, jumbled, damaged, misdirected, improperly recorded or unrecorded registrations, selections of party play mode, game plays, points/entries (all of which are void);
  • any incomplete, incorrect or inaccurate information, whether caused by web site users, tampering, hacking or by any of the equipment or programming associated with or utilized in offering the Website (including any games available thereon) or by any technical or human error;
  • any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any web site (including the Website), any game or Sweepstakes offered on the Website, registrations, game plays, points/entries;
  • any problems or technical malfunctions of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, programming or failure of email on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof which prevents any game or Sweepstakes available on the Website (or the Website itself) from being offered as intended;
  • or for injury or damage to entrant’s or to any person’s mobile device or desktop computer (or any information/materials stored therein) related to or resulting from downloading materials from any web site (including the Website), registering on the Website, playing any game on the Sweepstakes or otherwise utilizing the Website.
• Sponsor disclaims any and all liability for any error in advertising or offering any Sweepstakes as well as in the Sweepstakes Details of any Sweepstakes.
• Sponsor’s failure to enforce any provision of these Sweepstakes Official Rules on a given occasion will not constitute the waiver of such provision.
• If you register or play games on the Website by using a mobile device, you will be responsible for wireless Internet access and other charges of wireless carrier. Wireless Internet access is not available in all areas.
• This promotion is in no way sponsored, endorsed or administered by, or associated with, Twitch, Facebook, Instagram or Twitter. This is a Caffelli LLC promotion. Twitch, Facebook, Instagram and Twitter do not sponsor or endorse this promotion and are not responsible for it.
• Employees, officers and directors of Sponsor, third party prize partners, third party partner charities, Administrator, their parent companies, divisions, subsidiaries, affiliates; their immediate family members (defined as parents, children, siblings, spouse), regardless of where they live, and members of their same household (whether related or not) cannot register for the Website, play games or win any prizes in Sweepstakes. For clarity, those persons who donate to partner charities ARE eligible to register, earn points, enter Sweepstakes and win prizes.

8. FORCE MAJEURE.

If any Sweepstakes (including any games offered concurrently with a Sweepstakes) cannot be conducted as originally planned due to any cause beyond Sponsor’s control (by way of example only, pandemic/epidemic, materials shortage, riot, strike, civil commotion, government order/action; natural disaster, act of fraud or unauthorized human intervention), Sponsor may cancel, suspend, or modify the Sweepstakes (in whole or in part) and conduct the Sweepstakes making the prize(s) available in a manner which is determined by Sponsor in its sole discretion to be fair, appropriate and consistent with these Official Rules. See also Rule 1c above. Notice of such action by Sponsor will be posted on the Website (to the extent feasible).

9. RELEASES.

• By registering and playing game(s) on the Website (and thereby entering a Sweepstakes), you indemnify, release and agree to hold harmless Sponsor third party prize partners, third party partner charities, their respective parent companies, divisions, subsidiaries, affiliates, agencies (including Administrator); the employees, officers, directors, representatives, agents, shareholders, successors and assigns of any of the foregoing organizations; Facebook, Inc., Instagram, Twitch Interactive, Inc. and Twitter, Inc.; from any and all liability or injury arising directly or indirectly, in whole or in part from same or acceptance, possession, receipt, use or misuse of any prize(s).
• By accepting prize(s) in any Sweepstakes, you grant to Sponsor and its designees (including third party prize partner for such Sweepstakes) the right to use your name, voice, image, photo, likeness, publicly available information and other indicia of your persona for advertising, trade and publicity purposes without further compensation or notice or approval of any kind, except where prohibited by law.

10. TAMPERING.

All points/entries earned by a registrant will be declared void** and such registrant’s ability to use the Website may be terminated, perhaps without notice or warning of any kind, if Sponsor and/or Administrator determine that a registrant has engaged in any of the following conduct:

• Attempting to tamper with the Website including any games or Sweepstakes offered thereon;
• Attempting to undermine or interfere with the intended operation of any games or Sweepstakes offered on the Website;
• Attempting to earn points by cheating or any other action not expressly authorized by the rules and regulations of a given game (e.g., automated or programmed means of game play);
• Attempting to defraud Sponsor and/or Administrator in conjunction with registration on the Website, game play or Sweepstakes entry.

Voiding of points/entries earned by a registrant and termination of usage of Website shall not constitute the sole remedies available to Sponsor and Administrator under such circumstances with Sponsor and Administrator expressly reserving the right to pursue all other available legal remedies to the fullest extent of the law.

**Should party play mode be selected, all points earned by registrant determined to be engaged in any of the above conduct will be deducted from the total points earned by the corresponding team.

11. DISPUTES.

• All entrants (if a minor in his/her jurisdiction of residence, his/her parent/legal guardian) agree that any dispute regarding the Sweepstakes or these Official Rules will be brought in Oregon State Court in Multnomah County, Oregon or U.S. District Court for the District of Oregon and expressly waive any claim or defense that such court does not have personal jurisdiction over entrant or that it is an inconvenient or improper forum for the resolution of such dispute.
• All entrants (if a minor in his/her jurisdiction of residence, his/her parent/legal guardian) further agree, to the fullest extent permitted by law, that any dispute will be brought individually and not as part of a class action within one (1) year after such cause of action arose (with it thereafter being forever barred) and that their recovery in same will be limited to actual out-of-pocket costs incurred in utilizing the Website to play game(s) and participate in the relevant Sweepstakes (if any), with the right to any other damages (including but not limited to incidental, compensatory, consequential and punitive damages), equitable or other relief as well as attorneys’ fees being expressly waived.

12. WINNERS' LIST.

The winners’ list for a given Sweepstakes will be available beginning three (3) weeks after conclusion of the corresponding season. Requests will only be accepted for two (2) weeks after the conclusion of a given season.

• Prize Notification

  Potential prize winners will be notified by the Administrator via email approximately seven (7) days from the drawing date (the “Notification”). In the event the Administrator cannot reach a potential prize winner via the Notification, the potential prize winner does not respond by the date indicated within the Notification, or if it is determined by the Administrator/Sponsor, in their sole discretion, that a potential prize winner is not eligible in accordance with these Official Rules, he/she will be disqualified (without compensation of any kind) and an alternate prize winner will be selected from among all remaining eligible entries received for the applicable random drawing , and he/she will be notified as outlined above. A total of three (3) Notification attempts will be made to confirm a prize winner.

Except where prohibited, Grand, First and Runner Up Prize Winners must sign and return to the Administrator, within the date and time indicated in the Notification, an “Affidavit of Eligibility/Liability/Publicity Release” and IRS form W-9 or W8-BEN (collectively, the “Required Documents”) to claim the respective prize. If the potential prize winner fails to sign and return the Required Documents within the required time period, the potential prize winner forfeits his/her right to the prize and an alternate prize winner will be selected at random from among all remaining eligible entries received for the applicable random drawing. The value associated with the prize is taxable as income and the prize winner is solely responsible for any taxes, including, but not limited to all applicable federal, state and local taxes that become due with respect to the value of the prize. The Sponsor (or third party acting on its behalf) must report the value of the prize to the Internal Revenue Service in the year the prize is received by the prize winner and will be reported to the prize winner and the Internal Revenue Service in the form of a Form 1099 or 1042-S. In the event it is deemed during the verification process that the potential prize winner does not have a unique, personal and valid social security number for Sponsor (or third party acting on its behalf) to report the tax liability associated with acceptance of the prize, potential prize winner will be disqualified and another prize winner will be selected as outlined above. Valid social security numbers will be determined by IRS requirements. If it is determined by the Sponsor, in its sole discretion, that a potential prize winner is not eligible in accordance with these Official Rules, the potential prize winner forfeits his/her right to the prize and an alternate will be selected as outlined above. In the event that the potential prize winner is disqualified for any reason, Sponsor shall have no liability or obligation to such individual.
